Terms of Service

These terms govern your use of heroesandsidekicks.io and your first dealings with Everglow Collective LLC, doing business as Heroes & Sidekicks ("we", "us", "our"). By using this website, booking a call, applying to work with us, or engaging our services, you agree to them.

If you have signed our Hero Terms of Service, that agreement governs our work together, along with any Job Order and any direct contract between you and a contractor. Where this page and those documents differ, those documents win. This page then covers your use of the website and the messages we send you.

What we do

We recruit, vet and place offshore marketing, sales and technical talent with businesses, and we support those placements with training and quality assurance.

We introduce and support people. We do not employ them on your behalf, and we are not a party to the work they do for you.

Using this website

You may use this site for legitimate business purposes. You may not misuse it, attempt to gain access to parts of it that are not public, copy it, or use it to send unlawful or harmful material.

We may change or withdraw any part of the site at any time.

Booking a call

When you book a call you agree to give accurate contact details and to tell us if you cannot attend.

We may confirm, remind, reschedule or cancel a booking by email or text message.

Applying to work with us

If you apply, you confirm that the information and documents you give us are true and yours to share.

We assess applications at our discretion and are not obliged to explain a decision or to find you a role.

Fees and payment

Rates for each contractor are set in your Job Order. Our standard terms, as set out in the Hero Terms of Service you sign:

  • Billing runs weekly, Monday to Sunday.
  • Payment is due by 11pm Pacific on the Tuesday of each week. If it is not paid, contractors are asked to stop work immediately, whatever is in progress.
  • Payment is by weekly ACH automatic debit. We do not accept other payment methods.
  • Unless your Job Order says otherwise, a minimum of 15 hours a week per contractor is payable. If fewer hours are worked, the balance up to 15 is charged at the Job Order rate.
  • A failed ACH debit for insufficient funds carries a fee of 3% of the total bill, added to the following week, and no more than one such fee per bill.
  • New clients pay the first week in advance.

Our guarantee

We offer an unconditional money-back guarantee. If you are unhappy with our services for any reason, your most recent invoice is refunded in full.

It applies only to the most recent invoice generated and paid, and never to earlier ones.

We have up to 60 days to process a refund, and your bank may take a further 5 to 7 business days to show it.

Replacements, and what we do not promise

You may ask for a replacement contractor at any time, whether your scope of work changed or there is a performance problem.

We do not guarantee the quantity or quality of a contractor's work, their output, or that they will meet a particular goal or deadline.

What we commit to is coaching and supporting both sides, and furnishing a replacement on request.

Not soliciting our contractors

We invest heavily in the people we place. For 12 months after our agreement ends, you agree not to solicit or engage them directly or indirectly.

The signed contract sets the fee that applies if this is breached, currently equivalent to 640 hours at that contractor's Job Order rate.

Your responsibilities as a client

You are responsible for the work you assign, for lawful treatment of the people placed with you, for the security of any of your systems or data you give them access to, and for meeting the employment, tax and data protection obligations that apply to you where you operate.

If you give us your mobile number and agree to receive text messages:

What we send

Confirmations and reminders for calls you booked with us, and messages about your application or your placement. We do not send marketing texts.

How often

Message frequency varies.

Cost

Message and data rates may apply. That is between you and your mobile carrier.

Stopping them

Reply STOP to any message to stop receiving them. We will send one message confirming that, and nothing after it.

Getting help

Reply HELP to any message, or email [email protected] .

Delivery

Carriers are not liable for delayed or undelivered messages.

Your privacy. We never share your mobile number or your consent to receive text messages with third parties or affiliates for marketing purposes. See our Privacy Policy.

Agreeing to receive text messages is never a condition of buying anything from us, or of being considered for a role. You may withdraw consent at any time.

Confidentiality

Both of us keep the other's proprietary information confidential, and that includes the terms of our agreement.

We and our contractors are willing to sign your own non-disclosure agreement case by case.

Intellectual property

Everything on this website, including text, images, logos and the Heroes & Sidekicks name, belongs to us or our licensors.

Work produced for you by a contractor we place is assigned to you, subject to payment of all fees due.

Your own products, services, technology, websites and materials remain entirely yours.

Third-party services and links

The site may link to or rely on services run by other companies, such as scheduling, messaging and payment tools.

We are not responsible for their content or their availability.

Backing up your own systems

Before a contractor starts work on your website, landing pages or other digital assets, backing them up is your responsibility.

You can ask a contractor to take a backup, but neither the contractor nor we are responsible for problems arising from work done on your assets.

Regular backups are sensible with any contractor.

Our service is provided as it is

Except where we say otherwise in writing, our service, the contractors, and any work or output arising from it are provided as they are and as available.

We disclaim all other warranties, including merchantability, fitness for a particular purpose and non-infringement.

We do not promise particular business outcomes or revenue.

Limitation of liability

Our liability is limited to direct, actual damages, and will never exceed the total amount we received under the agreement for the relevant Job Order, other than for a breach of the confidentiality and intellectual property terms.

Nothing here limits liability that cannot be limited by law.

Indemnity

Each of us will defend and indemnify the other, and the other's affiliates, officers, directors, employees, shareholders, agents and representatives, against third-party claims arising from a breach of this agreement that is not cured within 30 days of written notice, or from gross negligence or wilful misconduct.

Code of conduct

Everyone working with us agrees to be kind, communicative, accountable and respectful.

Prejudicial words or actions have no place here, on any side.

Breaching the code is a breach of our agreement and can end it without penalty, and a contractor who breaches it may be replaced.

Ending the relationship

Either of us may end our agreement at any time and for any reason, on seven days' notice.

We may suspend access to the website immediately if it is being misused.

Changes to these terms

We may update this page. The date at the top shows when it last changed, and continuing to use the site or our services after a change means you accept it.

Governing law

These terms are governed by the laws of the State of Utah, United States, as is the Hero Terms of Service.
